Terms of Service

These Terms of Service (“Terms”) are an agreement between you and Modern DRO LLC, a Washington limited liability company (“ModernDRO,” “we,” “us,” or “our”). They govern moderndro.com, beta.moderndro.com, app.moderndro.com, and the hosted, account-enabled ModernDRO application and related services (collectively, the “Service”). By creating an account or clicking to accept, you agree to these Terms. Linked reDRO devices are covered only to the extent they are used through the Service. These Terms do not govern standalone or device software unless they are separately presented and accepted for that software. If you use the Service for an organization, you represent that you may bind it, and “you” includes that organization.

1. Eligibility and accounts

You must be at least 18 years old, or the age of legal majority where you live, and legally able to enter this agreement. You must provide accurate account information, keep credentials secure, and promptly notify us of suspected compromise. You are responsible for activity under your account. Organization owners and administrators control membership, roles, linked devices, and organization Customer Content.

2. Public Beta

The hosted Service is public beta software. It is unfinished, may contain defects, and may change, lose data, produce incorrect results, experience interruptions, or be discontinued without an availability commitment. Features and data formats may change during the beta. Keep independent backups and verify important information. Participation is voluntary and at your own risk. 3. Safety and measurement responsibility

ModernDRO is an operator aid, not a safety device, machine control, or certified measurement system. Machine tools can cause death, serious injury, and property damage. You are solely responsible for safe setup and operation, guards and procedures, independently verifying every readout, calculation, offset, instruction, and measurement before relying on it, and compliance with standards that apply to your work. Never use the Service as the sole check on a cut, movement, setup, inspection, or accepted part.

4. License and ownership

Subject to these Terms, ModernDRO grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Service for your internal personal or business purposes. ModernDRO and its licensors retain all rights in the Service, software, designs, documentation, trademarks, and related technology except for rights expressly granted here.

You may not copy, modify, distribute, sell, lease, sublicense, publicly provide, or create derivative works of the proprietary Service; reverse engineer, decompile, disassemble, translate, or attempt to discover its source code, models, algorithms, or non-public interfaces; bypass technical restrictions; scrape or access it by unauthorized automated means; or use it to build or benchmark a competing product. These restrictions apply only to the extent permitted by law and do not override rights granted by an applicable open-source license.

5. Customer Content and product improvement

As between you and ModernDRO, you retain your rights in machine configurations, tool libraries, programs, drawings, files, reports, messages, and other content you provide (“Customer Content”). You represent that you have the rights needed to provide it and that our permitted use will not violate law or another person’s rights.

You grant ModernDRO and its service providers a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, transmit, format, adapt, display, analyze, and otherwise use Customer Content as reasonably necessary to provide, operate, secure, support, test, develop, and improve the Service and our other products and services; comply with law; and exercise our rights under these Terms. This license lasts while the content is held for those purposes. We may use aggregated or deidentified information for any lawful business purpose and will not attempt to reidentify it except to test our measures or as law permits. Our Privacy Policy explains how we handle personal information.

If you voluntarily provide feedback, suggestions, or ideas, you grant us a perpetual, irrevocable, worldwide, royalty-free, transferable and sublicensable right to use them without restriction or compensation.

The Service may depend on or link to third-party services. Their terms and privacy practices govern their services, and we are not responsible for them. Open-source components are licensed under their applicable licenses; those licenses control if they conflict with these Terms.

8. Fees

The public beta is currently offered without charge. If we introduce paid features, we will disclose price, billing terms, and any additional terms before charging you. Taxes are your responsibility except taxes on our income.

9. Suspension, termination, and changes

You may stop using the Service at any time. We may limit, suspend, or terminate access to protect the Service or others, comply with law, or address breach, risk, or nonpayment. We may change or discontinue beta features. Where reasonably practicable, we will provide notice and an opportunity to export supported Customer Content, but emergency, security, legal, and beta circumstances may prevent it. Sections that by their nature should survive termination do so, including ownership, licenses already granted for retained data, disclaimers, liability, indemnity, and general terms.

10. Disclaimer of warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS,” “AS AVAILABLE,” AND WITH ALL FAULTS, WITHOUT WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, QUIET ENJOYMENT, OR RELIABILITY. WE DO NOT WARRANT THAT THE SERVICE, READOUTS, CALCULATIONS, FILES, MEASUREMENTS, OR RESULTS WILL BE COMPLETE, SECURE, AVAILABLE, ERROR-FREE, OR SUITABLE FOR A SAFETY, QUALITY, OR REGULATORY PURPOSE.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MODERNDRO AND ITS AFFILIATES, MEMBERS, PERSONNEL, LICENSORS, AND PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES; LOSS OF PROFITS, REVENUE, BUSINESS, USE, GOODWILL, OR DATA; OR DAMAGE TO WORKPIECES, TOOLING, MACHINES, DEVICES, OR OTHER PROPERTY, ARISING OUT OF OR RELATING TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF US$100 OR THE AMOUNT YOU PAID MODERNDRO FOR THE SERVICE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY.

These disclaimers and limits do not exclude liability that cannot be excluded under applicable law. If your jurisdiction does not allow a provision, it applies only to the fullest extent permitted. Nothing in these Terms limits mandatory consumer rights.

12. Indemnity

If you use the Service for a business or organization, you will defend, indemnify, and hold harmless ModernDRO and its affiliates, members, personnel, licensors, and providers from third-party claims, damages, losses, liabilities, costs, and reasonable legal fees arising from your Customer Content, your use of the Service, your machines or operations, or your violation of these Terms or law. This does not apply to the extent caused by ModernDRO’s own unlawful conduct and does not apply to individual consumers where prohibited by law.

13. Washington law and venue

These Terms are governed by the laws of the State of Washington, excluding its conflict-of-law rules. Except where applicable law gives you a non-waivable right to proceed elsewhere, the exclusive venue for a dispute arising out of or relating to these Terms or the Service will be the state courts located in King County, Washington, or, if federal subject-matter jurisdiction exists, the United States District Court for the Western District of Washington. Each party consents to the personal jurisdiction of those courts. Before filing a claim, please contact support@moderndro.com so we can try to resolve it informally.

14. General terms

These Terms and incorporated policies are the entire agreement about the Service and supersede prior discussions about it. If a provision is unenforceable, it will be enforced to the greatest lawful extent and the rest remain effective. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a reorganization, financing, sale, or transfer of the Service. We are not liable for delay or failure caused by events beyond our reasonable control. Headings are for convenience.

15. Changes and contact

We may update these Terms prospectively. We will post a new effective date and provide additional notice or request renewed acceptance for a material change when required.
